Terms of Service

1. Acceptance of Terms

By accessing or using the Kept platform (“Service”), operated by Kept Intelligence Inc. (“Kept,” “we,” “us,” or “our”), you agree to be bound by these Terms of Service (“Terms”). If you do not agree, do not use the Service.

We may update these Terms from time to time. Continued use of the Service after changes constitutes acceptance of the revised Terms. We will notify users of material changes via email or in-app notice.

2. Description of Service

Kept is a home maintenance intelligence platform that provides lifecycle-based forecasting, maintenance scheduling, health scoring, DIY guidance, and AI-assisted home advisory tools.

Kept's forecasts use deterministic Weibull-distribution models based on industry lifecycle data. They are not guarantees or warranties of system performance. Actual outcomes may vary based on usage, environment, installation quality, and other factors.

3. Eligibility

You must be at least 18 years of age and capable of forming a legally binding agreement to use the Service. By creating an account, you represent that you meet these requirements.

4. Accounts and Registration

You are responsible for maintaining the confidentiality of your account credentials and for all activity that occurs under your account. You agree to provide accurate, current, and complete information during registration and to keep that information up to date.

5. Subscription Plans and Billing

• Subscriptions renew automatically at the end of each billing period unless canceled.
• You may cancel at any time through your account settings or by contacting support. Cancellation takes effect at the end of the current billing period.
• No partial refunds are provided for unused portions of a billing period, except where required by law.
• Founding Member subscriptions begin at the time of purchase. The 12-month period starts from your subscription date.
• We reserve the right to change pricing with 30 days' advance notice. Price changes do not affect active billing periods.

6. Founding Member Terms

• Founding Members subscribe at $10.99/month or $99/year. Founding Members pay upfront to support product development.
• The standard cancellation policy applies (no partial refunds). You may cancel anytime and retain access through the end of your billing period.
• Founding Member benefits (badge, priority access, direct feedback line) are permanent for the lifetime of your account, even if you later downgrade.
• Founding Member benefits and pricing are subject to the terms at the time of subscription.

7. Acceptable Use

You agree not to:

• Use the Service for any unlawful purpose or in violation of any applicable laws.
• Attempt to gain unauthorized access to any part of the Service, other accounts, or systems.
• Use automated scripts, bots, or scrapers to access the Service without written permission.
• Upload malicious content, viruses, or harmful code.
• Impersonate another person or misrepresent your affiliation with any entity.
• Reverse-engineer, decompile, or disassemble any part of the Service.
• Resell, sublicense, or redistribute access to the Service without authorization.

We reserve the right to suspend or terminate accounts that violate these terms.

8. Intellectual Property

All content, features, and functionality of the Service — including text, graphics, logos, icons, software, data models, maintenance templates, and the Weibull-based forecasting methodology — are owned by Kept Intelligence Inc. and are protected by copyright, trademark, and other intellectual property laws.

You retain ownership of any data you provide (home details, system information, photos). By using the Service, you grant us a limited, non-exclusive license to process your data solely for the purpose of providing and improving the Service.

9. AI Advisor Disclaimer

• AI responses are informational only and do not constitute professional advice.
• Always consult a licensed professional for electrical, gas, structural, or safety-related work.
• Kept is not liable for outcomes resulting from actions taken based on AI guidance.
• The AI does not have direct knowledge of your home's condition beyond what you provide.

10. Health Scores & Forecasts Disclaimer

Health scores, remaining life estimates, replacement year predictions, and budget forecasts are generated using statistical models (Weibull survival distributions) based on industry average lifecycle data. These are estimates, not guarantees.

• Actual system lifespan depends on installation quality, usage patterns, maintenance history, climate, water quality, and other factors not fully captured by statistical models.
• Kept does not warrant that any system will fail or survive within the predicted timeframe.
• Budget forecasts are planning tools and should not be the sole basis for financial decisions.

11. Data Privacy

Your privacy matters to us. We collect and process personal data as described in our Privacy Policy. By using the Service, you consent to our data practices.

• We collect account information (name, email), home details, system data, and usage data.
• We do not sell your personal data to third parties.
• Your home data is used solely to provide the Service and improve our models.
• Aggregated, anonymized data may be used for research and product improvement.
• You may request deletion of your data at any time by contacting support.

12. Third-Party Services

The Service integrates with third-party providers including:

• Stripe for payment processing. Your payment data is handled directly by Stripe and is subject to their terms and privacy policy.
• Google for authentication (optional). Subject to Google's terms.
• OpenAI for AI advisory features. Conversations may be processed by OpenAI's API under their data processing terms.

We are not responsible for the practices or content of third-party services.

13. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, KEPT INTELLIGENCE INC. SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING BUT NOT LIMITED TO LOSS OF PROFITS, DATA, USE, OR GOODWILL, ARISING OUT OF OR RELATED TO YOUR USE OF THE SERVICE.

OUR TOTAL LIABILITY FOR ANY CLAIMS ARISING FROM OR RELATED TO THE SERVICE SHALL NOT EXCEED THE AMOUNT YOU HAVE PAID US IN THE TWELVE (12) MONTHS PRECEDING THE CLAIM.

Kept does not guarantee uninterrupted, error-free, or secure access to the Service. We provide the Service on an “as is” and “as available” basis.

14. Indemnification

You agree to indemnify and hold harmless Kept Intelligence Inc., its officers, directors, employees, and agents from any claims, damages, losses, or expenses (including reasonable attorney's fees) arising from your use of the Service, violation of these Terms, or infringement of any third-party rights.

15. Termination

• You may close your account at any time by contacting support or through your account settings.
• We may suspend or terminate your account if you violate these Terms or for any other reason with reasonable notice.
• Upon termination, your right to use the Service ceases immediately. Your data may be deleted after a reasonable retention period (typically 30 days).
• Sections relating to intellectual property, limitation of liability, indemnification, and governing law survive termination.

16. Governing Law & Disputes

These Terms are governed by and construed in accordance with the laws of the State of Texas, without regard to conflict of law principles. Any disputes arising from these Terms or the Service shall be resolved through binding arbitration administered by the American Arbitration Association (AAA) under its Consumer Arbitration Rules, except that either party may seek injunctive relief in a court of competent jurisdiction.

Class Action Waiver: You agree that any dispute resolution proceedings will be conducted only on an individual basis and not in a class, consolidated, or representative action.

17. Miscellaneous

• Entire Agreement: These Terms, along with our Privacy Policy, constitute the entire agreement between you and Kept regarding the Service.
• Severability: If any provision is found unenforceable, the remaining provisions continue in full force and effect.
• Waiver: Failure to enforce any right or provision does not constitute a waiver of that right.
• Assignment: You may not assign your rights under these Terms without our written consent. We may assign our rights at any time.
